Standard Representation Agreement between Sport Scholarship USA Ltd. and Student-Athlete
1. Appointment and Scope of Services
i. The Student-Athlete ("Player") hereby engages Sport Scholarship USA Ltd. ("SSU" or "The Agency") to provide professional athlete representation and advisory services necessary to secure an athletic and/or academic scholarship placement at a college or university in the United States of America.
ii. SSU's services include, but are not limited to, profile development, highlight video creation, academic eligibility guidance, coaching outreach, scholarship negotiation, and transfer guidance.
2. Service Fees and Payment
i. The Player agrees to remunerate SSU the full Service Fee as specified in the chosen Package option (Rookie, Varsity, or All-Star).
ii. Invoicing and Payment: Full payment of the Service Fee is due upon the execution (signing) of this Agreement. Invoicing shall occur immediately upon agreement receipt.
iii. Payment Plans: Where an installment plan has been agreed upon, the Player must adhere strictly to the schedule provided in the Supplemental Fee Agreement. Missed payments will result in the immediate suspension of all services, including coaching outreach and profile updates. Non-payment following a suspension period may lead to the cancellation of this Agreement.
iv. Non-Refundable Policy: The Service Fee is non-refundable. This fee covers the initial operational, advisory, and promotional work undertaken by SSU immediately upon appointment.
v. NCAA Compliance: As mandated by NCAA regulations, SSU confirms that no portion of the Service Fee is contingent upon or refundable based on the execution of a scholarship or financial aid agreement.
3. Duration and Promotional Activity
i. This Agreement comes into effect upon the date of signing and remains in force until the Player has commenced their academic and athletic tenure at an established US college or university.
ii. Promotional Period: SSU commits to actively promoting the Player to US colleges and universities until the Player's agreed scholarship commencement date. SSU reserves the right, at its sole discretion, to extend promotional activity for an additional year to secure an optimal placement.
iii. Duration of Representation: Should the Player achieve a placement, SSU’s advisory support extends throughout the entirety of the Player's college or university duration in America, offering continuous guidance on compliance and transfer matters.
4. Exclusivity
i. The Player agrees to exclusively contract SSU for all collegiate athletic scholarship representation and recruitment activities in the United States. During the term of this Agreement, the Player shall not engage any other agency or intermediary to perform similar services.
5. Termination
i. Termination by SSU: SSU reserves the right to terminate this Agreement immediately, with no refund of fees, under the following circumstances: * Non-Compliance: The Player fails to comply with reasonable and necessary directives from SSU (e.g., failing to provide updated footage, neglecting academic requirements) that jeopardize the recruitment process. * Non-Payment: Failure to pay the Services Fee or adhere to an agreed-upon installment plan. * Misrepresentation: The Player is found to have provided false or misleading information regarding their athletic or academic status.
ii. Termination by Player: The Player may terminate this agreement by providing written notice. Given the non-refundable nature of the Service Fee (Clause 2.iv), termination by the Player does not entitle them to a refund.
6. Regulatory Compliance
i. Governing Bodies: This Agreement and the services provided adhere strictly to the rules, standards, and regulations set forth by the NCAA (National Collegiate Athletic Association), NAIA (National Association of Intercollegiate Athletics), NJCAA (National Junior College Athletic Association), and any other governing body overseeing the conduct of US collegiate sports.
ii. The Player acknowledges they are responsible for reviewing and adhering to the eligibility requirements of these organisations.
7. Disputes and Governing Law
i. Dispute Resolution: Any disagreement between the involved parties concerning this Agreement, encompassing issues of existence, validity, or termination, must first be addressed through written communication with SSU's Managing Director.
ii. If a resolution cannot be reached internally, the dispute will be escalated and ultimately governed by the established rules and arbitration procedures of the relevant collegiate governing body (NCAA, NAIA, or NJCAA), provided the dispute relates to eligibility or recruitment conduct.
iii. Governing Law and Jurisdiction: This Agreement, along with any non-contractual responsibilities linked to it, is regulated by and will be interpreted in compliance with the laws of England and Wales. Both parties willingly submit to the exclusive jurisdiction of the courts of England and Wales.
